Legal Notice

Important: These Terms & Conditions ("Terms") govern the sale of goods and the provision of ‘VULCRAM’ and other related goods by Convoy Innovations Limited (NZBN: 9429052076381) ("we", "us", "our") via our website and other channels. By placing an order you agree to these Terms. Nothing in these Terms is intended to, or does, exclude, restrict or modify any rights and remedies you may have under New Zealand law that cannot lawfully be excluded (including rights under the Consumer Guarantees Act 1993 and Fair Trading Act 1986 for eligible consumers).

1. Definitions

  • Business Customer: a purchaser acquiring goods for business purposes (not for personal, domestic or household use).

  • Consumer: a purchaser acquiring goods for personal, domestic or household use under New Zealand law.

  • Goods: our breaching tools, accessories, spare parts and any other products we supply.

  • Services: training (if any), repair, maintenance or other services we may provide.

2. Eligibility, Professional Use & Compliance

  • Our Goods are specialised tools intended for use by trained professionals (e.g., law enforcement, emergency services, licensed security, military, qualified trades). By purchasing, you represent that you and your end users have the training, competency, and legal authority to use them.

  • You are responsible for ensuring the Goods are used lawfully and safely and in accordance with all applicable local laws and regulations in your jurisdiction, including lawful authority to enter, safety codes, and workplace health & safety obligations.

3. Assumption of Risk, Safety Warning & Waiver

  • Inherent Risk. Mechanical and hydraulic breaching is inherently dangerous. Misuse can cause serious injury, death, or property damage. The Goods must be used only by competent, trained operators following appropriate SOPs, wearing suitable PPE, and using industry-accepted techniques.

  • No Guarantee of Outcome. The use of any breaching tool does not guarantee a successful breach or any particular time-to-entry outcome. Door/frame construction, hardware, reinforcement, and other variables may defeat or degrade tool effectiveness.

  • Customer Responsibilities. You (and your organisation) accept all risks arising from the use, storage, transport and deployment of the Goods, including training and supervision of operators, inspection before use, and removal from service if damaged or unsafe.

  • Waiver (to the extent permitted by law). To the maximum extent permitted by applicable law, you release and discharge us, our directors, employees, contractors and distributors from any liability for injury, death, or damage arising from use or misuse of the Goods except where liability cannot lawfully be excluded (including your non-excludable rights as a Consumer). For Business Customers in New Zealand, you agree we contract out of the Consumer Guarantees Act 1993 and any implied warranties to the extent permitted by section 43 of the CGA and applicable law.

4. Orders, Acceptance & Pricing

  • Orders are offers to buy are accepted only when we send a written order confirmation or dispatch the Goods.

  • Prices are in [NZD/USD] as shown (unless stated otherwise) and may change without notice prior to acceptance. Obvious errors may be corrected.

  • Taxes & Duties. New Zealand orders include GST where applicable. International orders may be subject to import duties, VAT/GST, brokerage and customs clearance fees and any fees/taxes applicable at law are payable by you.

5. Shipping & Delivery

  • Dispatch Times. Estimated dispatch dates are indicative only. Lead times for made‑to‑order items may vary.

  • Risk & Title. Title passes on full payment. Risk of loss passes on delivery to your nominated carrier/address per the shipping terms specified at checkout (e.g., Incoterms® if stated).

  • Address Accuracy. You are responsible for correct address and delivery instructions. Re‑delivery charges may apply where a shipment is returned due to incorrect details or refusal.

  • Carriers & Delays. We may ship via reputable carriers. We are not liable for delays outside our reasonable control (see Force Majeure).

  • Inspection on Delivery. Inspect shipments on arrival. Note any visible damage on the carrier’s proof of delivery.

International Shipping

  • We can ship worldwide subject to export controls and carrier availability. Additional documentation/clearance may be required and is your responsibility unless otherwise agreed in writing.

6. Claims (Shipping Damage, Loss, Shortage)

  • Timeframes. Notify us in writing within 5 business days of delivery for visible damage/shortage, or within 10 business days from expected delivery date for loss/non‑delivery. Provide photos, packaging retention, and incident details.

  • Process. We will guide you through carrier claims. Do not discard packaging until the claim is resolved. Remedies may include replacement, repair, parts, or refund as appropriate.

7. Returns & Change‑of‑Mind

  • For Business Customers, change‑of‑mind returns are by prior written approval (RMA) only, unused in original packaging, and may be subject to a restocking fee (typ. 15–25%) plus freight. Custom, made‑to‑order, or used Goods are not returnable unless defective.

  • Consumers in New Zealand: Subject to Clause 3 (Waiver), your statutory rights under the Consumer Guarantees Act 1993 apply in addition to any express warranties. Contact us if you believe there is a fault or failure meeting CGA thresholds.

8. Limited 1‑Year Warranty (Goods)

  • We warrant that our Goods will be free from manufacturing defects in materials and workmanship for 12 months from the date of delivery to the original purchaser, when used in accordance with our instructions and normal professional use.

  • Exclusions: normal wear and tear; consumables and wear components (e.g., cutting edges, tips, teeth, spreader arms, seals); cosmetic damage; misuse, neglect, improper storage; unauthorised modifications; over‑loading; use contrary to manuals, SOPs or law; corrosion due to improper storage/contamination.

  • Remedies: At our option we will repair, replace, or refund the purchase price for confirmed defects. Replacement may use new or serviceable‑as‑new parts. This warranty is transferable within the original purchasing organisation but not otherwise.

  • How to claim: Obtain an RMA before returning. You are responsible for safely decontaminating, cleaning and shipping the product to our service centre. We cover return freight on approved warranty repairs within New Zealand; international shipping arrangements will be advised case‑by‑case.

  • Business Customers: To the extent permitted by law, all implied warranties are excluded, and the warranty remedy above is your sole and exclusive remedy.

9. Repairs, Spare Parts & Maintenance

  • You must inspect before each use and remove any damaged tool from service.

  • We may supply spare parts and service procedures. Repairs should be performed by qualified technicians using approved parts. Damage from unauthorised repair is excluded from warranty.

10. Cancellations & Changes

  • You may request cancellation or changes before dispatch. We will use reasonable efforts to accommodate requests. For custom/made‑to‑order items, cancellation may not be possible once production has commenced; reasonable costs incurred may be charged.

  • We may decline or cancel due to inability to supply, export restrictions, safety concerns, or suspected unlawful end‑use. Any amounts paid will be refunded for undelivered items.

11. Product Suitability; No Professional Advice

  • You are responsible for selecting Goods that are fit for your operational purpose and compatible with your procedures, structures, and environment. Written guidance we provide is general and does not replace your own risk assessments, training, or standard operating procedures.

12. Intellectual Property & Manuals

  • We retain all IP rights in designs, drawings, manuals, photos and content. You may use manuals internally to operate and maintain our Goods. You must not copy, reverse‑engineer, or exploit our IP except as permitted by law or our written consent.

  • ‘Vulcram’ is trademarked and patent pending. Any unauthorised reproduction, imitation, or infringement of these rights will be pursued to the fullest extent of the law.


13. Export Controls, End‑Use & Sanctions

  • Supply may be subject to export control/sanctions. You must not export, re‑export, sell, or transfer the Goods in breach of applicable New Zealand or destination‑country laws. We may require end‑user statements and have the right to refuse or cancel orders inconsistent with these requirements.

14. Privacy & Data

  • We collect and handle personal information in accordance with the Privacy Act 2020 and our Privacy Policy. You authorise us to use your contact and order details to process orders, warranty and support, and (with consent) for marketing. You may access/correct your information as permitted by law.

15. Website Use, E‑Commerce & E‑Signatures

  • Electronic communications, electronic records and acceptance (including click‑wrap/checkout acceptance) are recognised under New Zealand law. You consent to transact with us electronically.

16. Limitation of Liability (Business Customers)

  • To the maximum extent permitted by law: (a) we exclude all implied warranties and conditions; (b) we are not liable for indirect, special, incidental or consequential loss, including loss of profits, operational downtime or loss of data; and (c) our aggregate liability for any claim is limited to the amount paid for the Goods giving rise to the claim. Nothing limits liability for death or personal injury caused by our negligence where such limitation is prohibited by law, or for fraud.

17. Indemnity (Business Customers)

  • You indemnify us against third‑party claims arising from your misuse, unauthorised modification, or unlawful deployment of the Goods, except to the extent caused by our proven breach of these Terms or non‑excludable statutory obligations.

18. Force Majeure

  • We are not responsible for failure or delay due to events beyond our reasonable control (including accidents, acts of God, epidemics, war, sanctions, strikes, carrier failures, supply chain disruption, extreme weather).anyfe
